Terms & Conditions

These Terms govern access to and use of the DARCY software-as-a-service platform (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Seller of record

The Service is provided by DARCY AI LIMITED, a company registered in England & Wales (Company No. 13757914), registered office Enlightened Business Park, Palehouse Common, Framfield, East Sussex, TN22 5QZ (the "Provider"). Our order process is conducted by our online reseller Paddle.com. Paddle.com Market Limited is the Merchant of Record for all our orders and handles all payment, billing, tax and refund enquiries in accordance with the Paddle Buyer Terms.

2. Acceptable use

You must not use the Service to store or transmit unlawful material, send spam, infringe third-party rights, attempt to gain unauthorised access, probe or scan for vulnerabilities, upload malware, or interfere with the Service's operation or the experience of other customers. You must maintain the confidentiality of your account credentials and are responsible for activity under your account. You must provide accurate registration information and keep it up to date. If registering on behalf of an organisation you confirm you have authority to bind that organisation.

3. Intellectual property

The Service, including all associated software, documentation and branding, is owned by the Provider or its licensors and is licensed (not sold) to you on a limited, non-exclusive, non-transferable basis for use within your selected plan. You retain ownership of data and content you upload; you grant the Provider a limited licence to host and process that content solely to provide the Service. You must not reverse engineer, resell, redistribute, or circumvent technical limits of the Service.

4. Suspension

The Provider may suspend or terminate accounts for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. On termination you may export your data during a 30-day window, after which it will be deleted or anonymised in line with our retention policies.

5. Warranties and liability

The Service is provided "as is" and, to the maximum extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed. The Provider does not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law the Provider's aggregate liability for any claim is limited to the fees paid to Paddle in respect of the Service in the 12 months preceding the claim, and the Provider excludes liability for indirect, consequential or special damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law. You will indemnify the Provider against third-party claims arising from your content or unlawful use of the Service.

6. Changes

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect.

7. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes, without prejudice to any mandatory consumer rights in your country of residence.
